Terms of Service

1. Acceptance of Terms

By accessing or using any product or service provided by Okular LLC ("Okular," "we," "us," or "our"), including but not limited to game server hosting, remote file management, and associated web properties (collectively, the "Services"), you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.

If you are using the Services on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms, and references to "you" will include that entity.

2. Description of Services

Okular provides managed infrastructure services including, but not limited to:

• Game Server Hosting — Provisioned, managed virtual or dedicated servers configured for game server software including FiveM and other supported titles.
• Remote File Management — A proprietary browser-based platform enabling file upload, download, in-browser editing, and version control for hosted server environments.
• Custom Scripting & Configuration — Optional one-time or ongoing configuration and scripting services as agreed upon separately.
• AI-Assisted Services — Where available, AI agent tooling integrated with third-party large language model providers to assist with infrastructure management tasks (features may be in preview or subject to change).

Okular reserves the right to modify, suspend, or discontinue any feature of the Services at any time with reasonable notice where practicable.

3. Accounts & Registration

Some Services require you to create an account or provide contact information. You agree to:

• Provide accurate, current, and complete information.
• Maintain the security of any credentials, passwords, or access tokens associated with your account.
• Notify Okular immediately of any unauthorized access or suspected breach at support@okularservices.com.
• Accept responsibility for all activity occurring under your account.

Okular is not liable for any loss arising from your failure to maintain account security.

4. Subscriptions & Billing

4.1 Subscription Plans

Game server and platform services are offered on a monthly recurring subscription basis. Available tiers, pricing, and included resources are described on our plans page and may be updated from time to time. Your continued use of the Services after a pricing change constitutes acceptance of the new pricing.

4.2 Setup Fees

Certain plans require a one-time setup fee in addition to the monthly subscription fee. Setup fees are non-refundable once provisioning has begun.

4.3 Payment Processing

Payments are processed through third-party payment processors (including PayPal). By submitting payment, you agree to the applicable processor's terms. Okular does not store full payment card details.

4.4 Failed Payments & Suspension

If a recurring payment fails, Okular may suspend or terminate your Services after reasonable notice. You remain responsible for all amounts due during any suspension period up to termination.

4.5 Refunds

Monthly subscription fees are generally non-refundable except where required by applicable law, or at Okular's sole discretion for documented service failures caused by Okular. Requests must be submitted within 7 days of the charge.

4.6 Cancellation

You may cancel your subscription at any time by contacting support@okularservices.com. Cancellation takes effect at the end of the current billing period. No partial-month refunds are issued unless otherwise agreed in writing.

5. Acceptable Use

You agree not to use the Services to:

• Violate any applicable local, state, national, or international law or regulation.
• Host, distribute, or facilitate malware, viruses, exploits, or other malicious software.
• Conduct or facilitate unauthorized penetration testing, port scanning, or network attacks against any system.
• Launch denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks.
• Infringe the intellectual property rights of any third party, including game publishers or mod creators.
• Distribute pirated software, cracked game files, or unauthorized copies of licensed content.
• Harass, threaten, or harm any individual or group.
• Engage in any activity that materially degrades the performance or availability of shared infrastructure.
• Attempt to gain unauthorized access to Okular systems, other customer environments, or third-party networks.

Okular reserves the right to suspend Services immediately and without notice upon discovery of violations that pose an acute risk to security, legal compliance, or infrastructure integrity.

6. Intellectual Property

6.1 Okular Property

All software, interfaces, tooling, documentation, and materials comprising the Services — including the proprietary remote file management platform and AI agent tooling — are the exclusive intellectual property of Okular LLC or its licensors. These Terms do not grant you any ownership interest. You receive only a limited, non-exclusive, non-transferable, revocable license to use the Services as provided herein.

6.2 Your Content

You retain all ownership rights in files, scripts, configurations, and other content you upload or create using the Services ("Your Content"). By uploading Your Content, you grant Okular a limited license to host, store, and process it solely as necessary to provide the Services.

6.3 Feedback

If you submit feedback, suggestions, or feature requests, you grant Okular an irrevocable, royalty-free license to use such feedback for any purpose without compensation to you.

7. Your Data

Okular implements reasonable technical and organizational measures to protect data stored on its infrastructure. However, you are responsible for maintaining independent backups of all critical data. Okular's version control features are provided as a convenience and do not replace a comprehensive backup strategy.

Upon termination of your account, Okular may delete Your Content from its systems after a reasonable retention period. You are solely responsible for exporting any data you wish to retain prior to termination.

8. Service Availability

Okular endeavors to maintain high availability of the Services but does not guarantee uninterrupted or error-free operation. Scheduled maintenance will be communicated where reasonably practicable. Unplanned outages may occur due to factors within or outside Okular's control, including upstream provider failures, network issues, or security incidents.

Okular does not currently offer a formal Service Level Agreement (SLA) with guaranteed uptime percentages unless separately agreed to in writing.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY. OKULAR DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT ANY ERRORS WILL BE CORRECTED.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OKULAR LLC AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF OKULAR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OKULAR'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO OKULAR IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Okular LLC and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.

12. Termination

Either party may terminate the service relationship at any time. Okular may terminate or suspend your access immediately, without prior notice or liability, if you breach any provision of these Terms, or if Okular determines in its sole discretion that continued access poses a risk to other customers, third parties, or Okular's infrastructure.

Upon termination, your right to access the Services ceases immediately. Provisions of these Terms that by their nature should survive termination (including Sections 6, 9, 10, 11, and 13) shall survive.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Florida, without regard to its conflict of law provisions. Any dispute arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in English in Florida. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

Notwithstanding the foregoing, Okular may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

14. Changes to These Terms

Okular reserves the right to modify these Terms at any time. When we make material changes, we will update the effective date at the top of this page and, where reasonably practicable, notify active customers by email. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
